External Contributors: Terms & Conditions for Freelancers, Bloggers, and Contributors of User-Generated Content
A. SCOPE AND COMMENCEMENT OF THESE TERMS
These Terms apply to CP Media Global Limited and The European Magazine (collectively referred to as “the Company”). They govern the relationship between the Company and external contributors, including freelancers, bloggers, and those submitting user-generated content (“UGC”).
“Material” refers to any work protected under copyright law, including content intended for publication as well as any background materials used directly or indirectly in creating such content.
By submitting material for publication, agreeing to create material, or using the Company’s websites, you agree to these Terms, which take effect immediately. If you do not agree to these Terms, please refrain from accessing or contributing to the Company’s websites or submitting material for publication.
B. VARIATION OF THESE TERMS
These Terms will not be modified except where explicitly agreed in writing by a Director of the Company or the Editor. If you, as a freelancer or external contributor, do not agree with these Terms, you should not submit any material to the Company, accept any commission, or post any comments on the Company’s websites. Submission of any material is deemed to be done with full knowledge and acceptance of these Terms.
The Company reserves the right to amend these Terms at any time by posting changes online. It is your responsibility to review the Terms before submitting material, accessing blogs or forums, or posting comments. Continued submission of material or use of the Company’s websites following such updates constitutes acceptance of the revised Terms.
C. EXTERNAL CONTRIBUTIONS COVERED BY THESE TERMS
Material submitted by:
Freelancers
The Company values and regularly publishes material provided by freelance contributors (“Freelancers”). Freelancers should understand that these Terms apply to all material submitted, whether commissioned, speculative, or otherwise.
Bloggers
The Company may publish material created by external bloggers (“Bloggers”). A Blogger is any individual, organization, or entity whose material is posted on designated blog sections of the Company’s websites. These Terms govern all material provided by Bloggers, whether commissioned or unsolicited.
Specific additional terms relevant to Freelancers and Bloggers are set out in Section D below.
Contributors of User-Generated Content
The Company encourages broad participation in its online discussions to foster informative and engaging debate. Contributions made by external users, referred to as User-Generated Content (UGC), are subject to these Terms. UGC includes comments, posts, and other forms of content created by users on the Company’s websites.
Specific additional terms relevant to UGC contributors are outlined in Section E below.
D. FREELANCERS AND BLOGGERS
D.1 RIGHTS IN THE MATERIAL
Summary:
It is important that both the Company and the contributor have a clear understanding of the rights associated with the submitted material. The Company requires certain rights to utilize content across various platforms.
Exclusive Rights:
The Company retains the exclusive right to first publication of any commissioned material in any format, unless otherwise agreed in writing. If there is a delay in publication, the Freelancer may request a waiver of this exclusivity after a reasonable period.
Copyright:
Unless otherwise agreed, the contributor retains copyright. However, the Company is granted the following rights, which are worldwide, perpetual, irrevocable, and sub-licensable:
(a) Exclusive rights for one year from the date of delivery and non-exclusive rights thereafter.
(b) The right to syndicate, distribute, license, republish, or retransmit the material across all media, including print, electronic, online, mobile, and tablet apps.
(c) The right to use the title, format, and any pseudonym associated with the material.
Additional Rights:
(a) The Company may store your material in databases or archives in any format. Contributors may also store their material for personal use, provided it does not conflict with the Company’s rights.
(b) The Company reserves the right to translate, amend, cut, or alter the material as necessary.
(c) The Company may authorize third parties, such as NLA Media Access, to distribute or license the distribution of your material.
Publicity Rights:
The Company may use the contributor’s image alongside their material for promotional purposes.
Conflict of Interest:
The exercise of any rights by the contributor must not lead to a conflict of interest with the Company. Proper acknowledgment to the Company must be provided in any further use of the material.
D.2 PAYMENT / CONSIDERATION
Payment Terms:
If a fee is agreed upon, it will cover all rights granted to the Company, including syndication rights. Additionally, for one-off syndication of an individual contribution to an end-user, the contributor will receive 50% of the net revenue received by the Company.
Self-Billing System:
The Company operates a self-billing system. Freelancers should provide payment details to the commissioning editor upon their first submission. Payments are made at the end of the month following the publication of the material.
Consideration:
If no monetary fee is agreed, the consideration for granting rights is the opportunity for the material to be published by the Company.
D.3 EDITORIAL STANDARDS
Compliance:
The reputation of The European Magazine and CP Media Global Limited is built on editorial independence, integrity, and high journalistic standards. All contributors must ensure that their conduct and material comply with these standards, the Company’s Code of Conduct, and industry best practices.
Complaint Handling:
If a complaint arises regarding your material, you must notify the Company immediately and refrain from responding independently. The Company has sole control over how complaints are handled, including their resolution.
Confidentiality and Conflicts:
Contributors must disclose any potential conflicts of interest and maintain confidentiality regarding any story before and, when appropriate, after publication.
Legal Compliance:
Contributors must comply with all applicable laws, including data protection laws. Any legal or regulatory concerns should be raised with the Company immediately.
D.4 WARRANTIES, INDEMNITIES, AND LIABILITY
Warranties:
You warrant that the material:
(a) Is your original work and does not infringe on any rights, including intellectual property, privacy, or data protection rights.
(b) Is not defamatory.
(c) Does not violate any laws, including those related to data protection, surveillance, or harassment.
Indemnity:
You agree to indemnify the Company against any costs, claims, or liabilities arising from breaches of your warranties.
Limitation of Liability:
The Company will not be liable for any indirect or consequential losses, including loss of data, revenue, business, opportunity, goodwill, or reputation.
E. EXTERNAL CONTRIBUTORS / USER-GENERATED CONTENT
E.1 RIGHTS GRANTED
License:
By submitting UGC, you grant the Company a perpetual, irrevocable, royalty-free, non-exclusive, sub-licensable right to use, reproduce, modify, adapt, publish, and translate your content worldwide, in any media.
E.2 WARRANTIES AND INDEMNITY
Originality and Compliance:
You warrant that your UGC is original and that you have the right to grant the Company the license described above. Your content must not be defamatory or infringe any laws or rights.
Indemnity:
You agree to indemnify the Company against any damages, legal fees, or expenses arising from a breach of these warranties.
E.3 CODE OF CONDUCT
Lawful Use:
UGC must be lawful, respectful, and non-infringing. The Company reserves the right to remove any content it deems inappropriate or harmful.
Prohibited Content:
The following are examples of prohibited content and behaviour:
(a) Abusive or threatening language.
(b) Sexist, racist, homophobic, obscene, or harassing material.
(c) Spamming, multiple posting, or advertising.
(d) Impersonation of others.
Confidentiality:
You must not disclose personal information about yourself or others. If you post a comment, your email and IP addresses will be traceable.
Minors:
If you are under 16, you must obtain a parent or guardian’s permission before contributing content.
Copyright Compliance:
You may not copy, reproduce, or republish content from the Company’s websites except for personal, non-commercial use.
E.4 LIABILITY AND DISCLAIMER
Limitation of Liability:
The Company will not be liable for any losses, including those related to data, revenue, business, opportunity, goodwill, or reputation.
No Warranty:
The Company does not guarantee that its websites will be error-free or free from viruses.
E.5 INTELLECTUAL PROPERTY
IP Rights:
The names, images, and logos identifying the Company and third parties are protected by intellectual property laws. Nothing in these Terms grants any license or right to use these IP rights without permission.
